1. Agreement to Terms

By accessing and using OnlineCarList.com ("Service"), operated by Eighty Eight Brands LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms apply to all visitors, users, consumers, and dealers who access or use the Service.

2. Description of Service

OnlineCarList is a vehicle listing and lead generation platform that connects consumers searching for vehicles with automotive dealerships. The Service aggregates vehicle inventory data from third-party providers and dealer feeds, displays listings to consumers, and facilitates lead generation through inquiry forms. We also provide a dealer portal for dealership account management, lead management, and advertising services.

3. Consumer Terms

3.1 Lead Submission and Contact Consent

When you submit a vehicle inquiry or "Check Availability" form through the Service, you expressly consent to be contacted by OnlineCarList, the applicable dealership, and their respective agents, employees, affiliates, and service providers regarding the vehicle you inquired about, related vehicles, financing options, trade-in offers, and other products or services. You consent to be contacted by the following methods at the phone number and/or email address you provide:

• Telephone calls, including calls made using an automatic telephone dialing system (autodialer) or prerecorded/artificial voice messages
• Text messages (SMS/MMS), including messages sent using automated technology
• Email communications, including automated and marketing emails

You understand and agree that:

• Your consent is not a condition of purchasing any vehicle, product, or service
• Message and data rates may apply for text messages
• You may receive multiple contacts from one or more dealers or their representatives
• Contact may occur at any time, including evenings and weekends
• You may revoke your consent at any time by contacting us at support@onlinecarlist.com or by replying STOP to any text message

3.2 Lead Information Sharing

When you submit an inquiry through the Service, your contact information (including name, email, phone number, and comments) along with vehicle and dealer information will be shared with the dealership associated with the listing. This information may also be stored by OnlineCarList for analytics, platform improvement, and to facilitate follow-up communications. You acknowledge that once your information is shared with a dealer, that dealer's own privacy practices will govern their use of your data.

3.3 No Guarantee of Vehicle Availability

Vehicle listings on OnlineCarList are provided by third-party data sources and participating dealers. We do not guarantee the accuracy, availability, pricing, condition, or any other aspect of any vehicle listed on the Service. All vehicle information, including but not limited to pricing, mileage, photos, features, specifications, and estimated payments, is provided for informational purposes only and may contain errors. You should independently verify all vehicle information with the dealer before making a purchase decision.

3.4 Estimated Payments Disclaimer

Any estimated monthly payment calculations shown on the Service are for illustrative purposes only and are not offers of financing. Actual rates, terms, down payments, and monthly payments will vary based on your creditworthiness, the lender's terms, the specific vehicle, and other factors. OnlineCarList is not a lender and does not make credit decisions.

4. Dealer Terms

4.1 Dealer Account Registration

Dealerships may register for a dealer account on the Service. By registering, you represent and warrant that: (a) you are authorized to act on behalf of the dealership; (b) the information you provide is accurate and complete; (c) you will maintain the accuracy of your account information; and (d) your dealership holds all licenses required to operate as a motor vehicle dealer in your jurisdiction.

4.2 Lead Data Usage Restrictions

Leads purchased or unlocked through the Service are licensed to the purchasing dealer solely for the purpose of contacting the consumer regarding the vehicle inquiry and related dealership services. Dealers expressly agree that they will NOT:

• Resell, redistribute, sublicense, or transfer lead data to any third party
• Share lead data with other dealerships, lead aggregators, data brokers, or marketing companies
• Use lead data for purposes unrelated to the consumer's vehicle inquiry, such as unsolicited marketing for unrelated products or services
• Store lead data in a manner that does not comply with applicable data protection laws
• Contact consumers in a manner that violates the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable federal, state, or local law

Violation of these restrictions may result in immediate account termination, forfeiture of remaining credits, and potential legal action. Dealers agree to indemnify and hold harmless Eighty Eight Brands LLC from any claims arising from their misuse of lead data.

4.3 Dealer Compliance Obligations

Dealers are solely responsible for ensuring that their contact with consumers complies with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, Federal Trade Commission (FTC) regulations, state consumer protection laws, and all applicable Do Not Call regulations. OnlineCarList provides consumer consent at the time of lead submission, but dealers are responsible for maintaining their own records of consent and compliance.

4.4 Credits and Purchases

Lead unlock credits and advertising plan credits purchased through the Service are non-refundable unless otherwise required by law. Credits do not expire unless otherwise stated. Pricing is subject to change at any time, but changes will not affect previously purchased credits. The 30-Day Advertising Plan includes unlimited lead unlock credits for the duration of the active plan period only. All purchases are processed through Stripe and subject to Stripe's terms of service.

4.5 Account Termination

We reserve the right to suspend or terminate any dealer account at our sole discretion, with or without notice, for any reason including but not limited to: violation of these Terms, misuse of lead data, consumer complaints, fraudulent activity, or failure to maintain required dealership licenses. Upon termination, unused credits are forfeited and no refund will be issued.

5. General Terms

5.1 Use License

Permission is granted to temporarily access and use the materials on OnlineCarList for personal or authorized business use only. This is a grant of a limited license, not a transfer of title. You may not:

• Modify, copy, or create derivative works from the materials
• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Service
• Attempt to decompile, reverse engineer, or disassemble any software on the Service
• Remove any copyright, trademark, or proprietary notices
• Transfer or sublicense access to another person or entity
• Use the Service to harvest, collect, or compile information about other users
• Interfere with or disrupt the integrity or performance of the Service

5.2 Intellectual Property

The Service, including its design, layout, text, graphics, logos, button icons, images, data compilations, and software, is the property of Eighty Eight Brands LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. The OnlineCarList name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Eighty Eight Brands LLC. You may not use these marks without our prior written permission.

5.3 Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EIGHTY EIGHT BRANDS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

5.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EIGHTY EIGHT BRANDS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

5.5 Indemnification

You agree to indemnify, defend, and hold harmless Eighty Eight Brands LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through the Service.

5.6 Third-Party Links and Services

The Service may contain links to third-party websites, services, or content that are not owned or controlled by Eighty Eight Brands LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

5.7 Prohibited Activities

You agree not to use the Service:

• For any unlawful purpose or in violation of any applicable laws or regulations
• To submit false, misleading, or fraudulent information
• To harass, threaten, defame, or intimidate any person
• To transmit viruses, malware, or any harmful code
• To attempt to gain unauthorized access to our systems, networks, or data
• To impersonate any person or entity or misrepresent your affiliation
• To engage in any activity that could damage, disable, or impair the Service
• To use the Service for competitive analysis or to build a competing product

5.8 Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Austin, Texas. Judgment on the arbitration award may be entered in any court having jurisdiction. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

5.9 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. For any disputes not subject to arbitration, you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

5.10 Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

5.11 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

5.12 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eighty Eight Brands LLC regarding the Service and supersede all prior agreements and understandings.

5.13 Waiver

The failure of Eighty Eight Brands LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
